Terms of Service

Welcome to YummyPenny. These Terms of Service (“Terms”) govern your access to and use of the YummyPenny website, dashboard, subscription service, data tools, alerts, content, and members-only community, including our Discord community (collectively, the “Service”).

YummyPenny is a paid subscription information service. We aggregate discount, price, availability, product, and price-history data from third-party retailers and data sources, generate algorithmic price-drop estimates and related informational outputs, and make that information available through a gated dashboard and community. YummyPenny does not sell, ship, stock, warehouse, fulfill, guarantee, or broker any third-party retail products. We sell access to information about products offered by other companies.

These Terms form a binding agreement between you and YummyPenny, LLC, doing business as YummyPenny (“YummyPenny,” “we,” “us,” or “our”).

1. Acceptance of These Terms

By creating an account, purchasing a subscription, accessing the dashboard, joining the YummyPenny Discord community, or otherwise using the Service, you agree to these Terms, our Privacy Policy, Cookie Policy, Refund Policy, and any additional terms presented to you at checkout or within the Service.

If you do not agree, do not create an account, purchase a subscription, access the Service, or join the community.

2. Eligibility; Business Use

You must be at least 18 years old to use the Service. Minors are not permitted to create accounts, purchase subscriptions, or access the Service.

The Service is open to individuals and to businesses alike, including resellers and retail-arbitrage buyers. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

3. Account Registration and Security

You may need to create an account and provide accurate information, including an email address and payment information through our third-party payment processor. There are no passwords: you sign in through a link we email you or through your Discord account, so you are responsible for keeping that email inbox and Discord account secure, and for all activity under your account.

You may not share, sell, sublicense, transfer, or allow others to use your account unless we expressly authorize it in writing or your subscription plan permits it. Notify us immediately at [email protected] if you believe your account has been compromised.

4. Subscription, Auto-Renewal, Billing, and Cancellation

YummyPenny is offered as a recurring paid subscription at $49.99 per month or $549.89 per year (the annual plan includes one month free), unless a different price, cadence, trial, discount, or plan is shown at checkout. The price shown at checkout is the price you agree to, plus any applicable sales tax, which is calculated at checkout.

By purchasing a subscription, you authorize YummyPenny and our payment processor to charge your selected payment method on a recurring basis until you cancel. Your subscription automatically renews at the end of each billing period unless canceled before the renewal date.

You may cancel your subscription at any time from your account page or directly at yummypenny.com/billing/portal, with no call, email, or waiting period required. Cancellation stops future renewal charges but does not refund amounts already paid. Unless otherwise stated, you will retain access through the end of your current paid billing period.

We may change subscription pricing or plan features. If we change your recurring subscription price, we will email the address on your account at least 30 days before the change takes effect and explain how to cancel if you do not accept it.

All payments, refunds, cancellations, failed payments, chargebacks, and billing issues are also governed by our Refund Policy.

5. Free Trials, Referral Credits, and Complimentary Access

We may offer a free trial by invitation or referral link. A trial is limited to one per person and one per payment method; we may decline or end a trial where we detect a repeat. Unless you cancel before the trial ends, your subscription converts to a paid subscription and your payment method is charged the price shown when you started the trial. If we find that a trial has already been used by the same person or payment method, the trial ends immediately and the first period is charged at once; we email you when this happens, and you can cancel from your account page so that no further charge is made. We email a reminder three days before every trial converts.

Referral credits and other promotional credits have no cash value, cannot be transferred, sold, or redeemed for money, apply only to future YummyPenny charges, and may be withdrawn if we determine they were obtained through fraud, self-referral, or abuse. Complimentary or courtesy access may be limited or ended at any time.

6. License to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, YummyPenny grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your own internal informational and business evaluation purposes.

This license does not give you ownership of the Service, our data compilations, dashboard, software, algorithms, analytics, predictions, branding, community content, or any intellectual property rights.

7. Information Service Only; No Retail Sales

YummyPenny is not a retailer, marketplace, reseller, supplier, purchasing agent, broker, fulfillment provider, or product seller. We do not control third-party retailers, product listings, inventory, pricing, coupons, discounts, shipping, taxes, order acceptance, order cancellation, product condition, product authenticity, product safety, delivery, returns, warranties, or customer service.

Any purchase you make from a third-party retailer is solely between you and that retailer. You are responsible for reviewing and complying with that retailer’s terms, policies, restrictions, purchase limits, return rules, and applicable laws.

8. Penny Items, Clearance, and In-Store Conduct

A "penny" or very low price is a retailer's own internal pricing state for an item it intends to remove from sale. It is not an offer by YummyPenny, and it may not be an offer by the retailer. A retailer may refuse to sell an item, correct a price at the register, pull an item from the shelf, or limit quantities at any time, and nothing YummyPenny publishes changes that.

You are solely responsible for your conduct in and around any store. You agree not to alter, remove, or misrepresent price tags or labels, not to misrepresent a price to store staff, not to enter non-public areas, and to follow every store rule, staff instruction, and applicable law. You assume all risk of travel to and from stores, including the risk that an item shown here is not there when you arrive.

9. Data Accuracy Disclaimer

Prices, discounts, product details, availability, stock status, fees, taxes, coupons, promotions, and retailer policies may change at any time. Third-party APIs, feeds, websites, and data sources may be delayed, incomplete, inaccurate, unavailable, or affected by retailer errors, system outages, formatting issues, or other problems.

YummyPenny provides all data, price history, alerts, rankings, estimates, and predictions “as is” and “as available.” We do not guarantee that any price, discount, product detail, availability status, or prediction is accurate, complete, current, or actionable.

You must independently verify all prices, availability, product details, restrictions, and purchase terms directly with the applicable retailer before making any purchase or resale decision.

Five things about what the Service actually shows:

• Prices are observations, not offers. Every price is what our collector saw at one store at one moment, and every number on the site carries its age. A price may have changed a minute after we saw it.
• Penny odds are a prediction. The score is calibrated against members' confirmed register results; it is not a register price, and it is only shown for Home Depot.
• "All-time low" means since we started watching. Our own price history for most items is short, and the badge is measured against that history alone.
• Resale figures are estimates. They are shown with a tilde and are derived from retail price, not from anything we sold; they carry no marketplace and are not a promise of what an item will sell for.
• "Confirmed" and "receipt-backed" mean a member said so. We do not verify the authenticity of a report, a receipt, or a photo.

10. Algorithmic Predictions Are Not Advice

YummyPenny may provide algorithmic price-drop predictions, probability estimates, historical trend analysis, suggested watchlist signals, or related outputs. These features are informational only.

They are not financial, investment, legal, tax, business, inventory, purchasing, accounting, or resale advice. They do not guarantee future prices, profits, availability, demand, sell-through, or business results. You use all predictions and analytics at your own risk.

11. Reseller and Retail-Arbitrage Responsibility

You are solely responsible for your purchasing, resale, tax, marketplace, and business activities. This includes responsibility for:

• complying with retailer terms, purchase limits, quantity restrictions, anti-bot rules, return policies, and account rules;
• determining whether you may lawfully purchase and resell particular products;
• collecting, reporting, and remitting any applicable sales, use, income, franchise, or other taxes;
• obtaining any required licenses, permits, registrations, or marketplace approvals;
• complying with marketplace rules, product-condition rules, brand restrictions, intellectual-property rules, and consumer-protection laws;
• handling buyer complaints, returns, product warranties, chargebacks, shipping, fulfillment, and customer service;
• determining whether a product is safe, authentic, lawful, non-recalled, non-restricted, and suitable for resale.

YummyPenny does not guarantee profit, resale eligibility, marketplace approval, account health, product demand, retailer order acceptance, or any business outcome.

12. No Affiliation With Retailers; Trademark Notice

YummyPenny is independent and is not affiliated with, endorsed by, sponsored by, approved by, or officially connected with any third-party retailer, brand, marketplace, manufacturer, or product owner unless expressly stated.

Retailer names, product names, brand names, logos, trademarks, and other identifiers belong to their respective owners. We may reference them only to identify products, retailers, prices, or offers for informational purposes.

13. Discord Community

A YummyPenny subscription may include access to a members-only Discord community. Discord access is a subscription benefit, not a separate product.

You agree to follow all YummyPenny community rules, moderator instructions, Discord’s own terms and policies, and applicable law. We may remove posts, restrict access, mute, suspend, or ban users from the community at our discretion, including for harassment, spam, doxxing, abuse, illegal activity, sharing confidential data, encouraging policy violations, or conduct that harms the community or Service.

We are not responsible for statements, conduct, offers, transactions, or advice provided by other community members. You interact with other members at your own risk.

Alerts are delivered through Discord, a third party that can rate-limit, restrict, or go offline, and whether a direct message reaches you depends on your own Discord settings. Our bot stores your Discord ID against your membership so it can grant your role and answer your commands. Anything you upload on Discord is also governed by Discord's own terms.

14. Community Reports and Member Submissions

Parts of the Service show reports submitted by members and by other communities: an item seen at a price, at a store, on a date. These reports are provided by third parties, are not verified by YummyPenny, and may be wrong, incomplete, out of date, or about a different item than they appear to describe. We label them as reports rather than as observations of our own, and we may edit, hide, or remove any report at our discretion.

If you submit a report, note, or other content, you confirm it is truthful to the best of your knowledge and that you have the right to share it, and you grant YummyPenny a perpetual, worldwide, royalty-free license to use, display, reproduce, and distribute it as part of the Service. Do not submit personal information about other people.

15. Prohibited Conduct

You may not:

• scrape, crawl, harvest, copy, mirror, bulk download, or systematically extract data from the Service;
• reverse engineer, decompile, interfere with, or attempt to access non-public portions of the Service;
• resell, sublicense, or redistribute YummyPenny data in bulk outside the Service, or share your account so that others get the Service without paying. Sharing an individual find with a friend or a community, with a link back to YummyPenny, is welcome;
• use the Service to build or train a competing product, database, model, dashboard, alerting tool, or information service;
• bypass access controls, rate limits, paywalls, security systems, or subscription restrictions;
• use bots, scripts, automated tools, or unauthorized API access against the Service;
• use the Service for fraud, unlawful resale activity, deceptive trade practices, tax evasion, intellectual-property infringement, or violation of retailer or marketplace rules;
• upload malware, harmful code, or unlawful content;
• harass, threaten, abuse, impersonate, or dox others;
• misrepresent your affiliation with YummyPenny or any retailer;
• use the Service in a way that could damage, disable, overburden, or impair YummyPenny or any third-party service.

We may investigate suspected violations and suspend or terminate accounts at our discretion.

16. Third-Party Services and Links

The Service is built on and links to third-party services: Stripe (payments), Resend (email), Railway (hosting), Discord (community and alerts), Google Maps and Google Analytics, Keepa (Amazon price data), Cloudflare (network services and the terminal's map tiles), retailer websites, and other third-party platforms.

Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party websites, APIs, outages, errors, policies, content, products, transactions, or practices.

If we use affiliate links or receive compensation from links, referrals, or retailer relationships, we will disclose that relationship where required.

17. Google Maps Features

The dashboard and product pages show nearby stores on Google Maps, and the home ZIP you save is geocoded through Google; your use of those features is also subject to the then-current Google Maps/Google Earth Additional Terms of Service and Google Privacy Policy. Those features process your ZIP code, the approximate location derived from it, store searches and map interactions. We do not collect precise device location.

18. Intellectual Property

YummyPenny and its licensors own all rights, title, and interest in the Service, including the website, dashboard, software, code, design, data compilations, database structure, algorithms, predictions, analytics, alerts, workflows, text, graphics, logos, trade dress, and other content, excluding third-party trademarks and third-party source data.

You may not copy, reproduce, modify, publish, distribute, sell, lease, create derivative works from, or exploit any part of the Service except as expressly allowed by these Terms.

If you submit feedback, ideas, bug reports, suggestions, or feature requests, you grant YummyPenny a perpetual, worldwide, royalty-free, irrevocable right to use them without restriction or compensation.

19. Beta Features and Service Changes

We may add, modify, suspend, or remove features at any time, including data sources, retailers, predictions, alerts, Discord access, map features, or dashboard tools. Some features may be experimental, incomplete, or labeled beta.

We do not guarantee uninterrupted access, error-free operation, availability of any specific retailer feed, continued Discord access, continued third-party API access, or any particular feature set.

20. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided “as is,” “as available,” and “with all faults.” YummyPenny disclaims all warranties, express or implied, including warranties of accuracy, availability, merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, secure, accurate, current, profitable, error-free, or compatible with your intended use.

21. Limitation of Liability

To the maximum extent permitted by law, YummyPenny and its owners, officers, employees, contractors, affiliates, suppliers, and licensors will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, including lost revenue, lost business opportunity, lost resale profit, loss of goodwill, lost data, account suspension by a retailer or marketplace, inventory losses, or purchasing decisions based on inaccurate or outdated information.

To the maximum extent permitted by law, YummyPenny’s total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to YummyPenny for the Service during the twelve months immediately before the event giving rise to the claim and (b) one hundred US dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

22. Indemnification

You agree to defend, indemnify, and hold harmless YummyPenny and its owners, officers, employees, contractors, affiliates, suppliers, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• your use or misuse of the Service;
• your purchasing, resale, marketplace, tax, shipping, fulfillment, or customer-service activity;
• your violation of retailer, marketplace, Discord, or third-party terms;
• your violation of these Terms or applicable law;
• your infringement or alleged infringement of any intellectual-property, privacy, publicity, consumer-protection, or other rights;
• your interactions or transactions with third parties or community members.

23. Suspension and Termination

We may suspend or terminate your account, subscription access, dashboard access, or Discord access if we believe you violated these Terms, failed to pay, created risk for YummyPenny, misused the Service, violated community rules, or engaged in unlawful or harmful conduct.

If your account is terminated for violation of these Terms, you are not entitled to a refund. Upon termination, your license to use the Service ends immediately.

You may stop using the Service at any time and may cancel future subscription renewals through the cancellation method provided.

24. Dispute Resolution; Arbitration; Class Action Waiver

Before filing a claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. Either party may begin formal proceedings if the dispute is not resolved within 30 days.

Except for disputes that may be brought in small claims court, claims for injunctive relief involving intellectual property or unauthorized access, or claims that cannot legally be arbitrated, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis. The Federal Arbitration Act governs this agreement to arbitrate. The arbitrator, not a court, decides whether a dispute is subject to arbitration, except that a court decides any dispute about the class action waiver below.

The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, and may be conducted by telephone, video, or written submissions where those rules allow. The seat of arbitration will be Travis County, Texas, unless applicable law requires otherwise. The arbitrator may award the same individual relief that a court could award, but may not conduct a class, collective, consolidated, or representative proceeding unless both parties agree.

You and YummyPenny waive the right to a jury trial and the right to participate in a class action, class arbitration, collective action, or representative action to the maximum extent permitted by law. If the class action waiver is found unenforceable for a particular claim, that claim (and only that claim) will be decided in court rather than in arbitration, and the rest of this section stays in effect.

You may opt out of this arbitration clause by emailing [email protected] within 30 days after first accepting these Terms and stating your name, account email, and request to opt out of arbitration.

25. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. For disputes not subject to arbitration, the exclusive venue will be the state or federal courts located in Travis County, Texas, unless applicable law requires another venue.

26. Force Majeure

YummyPenny is not liable for delay, failure, outage, data unavailability, or performance issues caused by events beyond our reasonable control, including retailer API outages, hosting failures, payment processor outages, Discord outages, Cloudflare issues, internet failures, cyberattacks, labor disputes, natural disasters, war, government action, or changes in third-party access terms.

27. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted with a new “Last Updated” date. If changes are material, we will email the address on your account before they take effect. Your continued use of the Service after updated Terms take effect means you accept the updated Terms.

28. Electronic Communications

By creating an account you consent to receive communications from us electronically, including login links, receipts, renewal and trial reminders, notices about these Terms, and service announcements, at the email address on your account. You agree that electronic notices satisfy any legal requirement that a communication be in writing. You can manage optional emails from your account page; we will still send the notices the law or your subscription requires.

29. Copyright Complaints

If you believe content on the Service infringes a copyright you own, email [email protected] with the subject line "Copyright notice". Tell us what the work is, where it appears on the Service, and how to reach you. We review every notice we receive, remove content where the complaint is well founded, and close the accounts of anyone who infringes repeatedly.

30. General Terms

These Terms, together with the Privacy Policy, Cookie Policy, and Refund Policy, are the entire agreement between you and YummyPenny about the Service and replace any earlier agreement. If any part of these Terms is found unenforceable, the rest remains in effect and the unenforceable part is enforced to the fullest extent the law allows. Our not enforcing a provision is not a waiver of it. You may not assign these Terms; we may assign them to a successor or affiliate. Sections that by their nature should survive termination, including disclaimers, limitations of liability, indemnification, and dispute resolution, survive. The Service is operated from the United States and is intended for use in the United States; we make no representation that it is appropriate or lawful elsewhere.
